Terms of Service

These Terms of Service (“Terms”) govern your access to and use of EloSeed, a platform developed and operated by L8TENCY, LLC (“L8TENCY”, “we”, “us”, or “our”). EloSeed is a white-label tournament infrastructure platform, including all websites, organizer consoles, public circuit pages, APIs, and related services (collectively, the “Services”). Please read these Terms carefully before using the Services.

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Services.

1. Eligibility and Account Access

1.1 Organizer Accounts

Organizer accounts are provisioned exclusively through the EloSeed operator’s invite process, which requires signing the EloSeed License Agreement electronically. Self-serve public registration is not available. You must be at least 18 years of age and have the legal authority to bind the organization you represent.

1.2 Account Security

Organizer accounts are passwordless by default; sign-in is via magic links sent to your registered email address. You are responsible for maintaining the security of your email account. You must notify us immediately at support@eloseed.gg if you believe your account has been compromised. L8TENCY is not liable for any loss or damage arising from unauthorized access resulting from your failure to maintain email security.

1.3 Team Registration Users

Members of the public who submit team registrations via the /c/[slug]/register form are not required to create accounts. By submitting a registration, you agree to these Terms as they apply to that interaction.

2. Description of Services

EloSeed provides a white-label tournament infrastructure platform that allows licensed organizers to:

• Customize a tournament circuit with their own branding (logo, colors, fonts, and identity).
• Manage team seeding, standings, brackets (single-elimination), and event results.
• Publish public-facing circuit pages accessible at /c/[slug] and demo pages at /demo/[slug].
• Accept team registrations from players, approve or reject submissions, and sync roster data into seeding.
• Maintain a private Admin Rulebook with searchable internal guides.
• Integrate with Start.gg for automated event data import (optional).
• Invite additional administrators with configurable role-based permissions.

The Services are provided on a software-as-a-service basis. EloSeed reserves the right to modify, suspend, or discontinue any feature or aspect of the Services at any time, with reasonable notice where practicable.

3. Organizer Obligations

3.1 Accurate Information

You agree to provide accurate, current, and complete information when onboarding and when using the Services. You are responsible for keeping your account information up to date.

3.2 Authorized Use

You may use the Services only for lawful purposes and in accordance with these Terms and the EloSeed License Agreement. You agree not to:

• Use the Services to operate unauthorized or fraudulent tournaments.
• Attempt to gain unauthorized access to any portion of the Services, other organizers’ circuits, or EloSeed’s infrastructure.
• Reverse engineer, decompile, or attempt to extract the source code of the Services.
• Upload content that infringes any third-party intellectual property rights, is defamatory, obscene, or otherwise unlawful.
• Use automated means to scrape, crawl, or systematically access the Services without our written consent.
• Circumvent any rate-limiting, authentication, or access-control mechanism.

3.3 “Powered by EloSeed” Attribution

Public circuit pages rendered by the Services include a “Powered by EloSeed” attribution mark. You may not remove, obscure, or modify this attribution. This requirement exists regardless of any customization applied to your circuit’s branding.

3.4 Custom Domain Usage

If you configure a custom domain or subdomain for your circuit, you represent that you have the right to use that domain and that its use does not infringe any third party’s rights. EloSeed is not responsible for DNS configuration errors or domain disputes.

4. Content and Data

4.1 Your Content

You retain ownership of all content you upload or create within the Services (“Your Content”), including tournament data, logos, rulebooks, and admin guides. By using the Services, you grant EloSeed a limited, non-exclusive, royalty-free license to host, store, process, and display Your Content solely as necessary to provide the Services.

4.2 Team Registration Data

Team registration submissions made by players via your public circuit pages are submitted to you as the organizer. You are responsible for handling that data in compliance with applicable privacy laws. EloSeed processes registration data on your behalf as a data processor.

4.3 Start.gg Integration Data

If you enable the Start.gg integration, tournament and entrant data retrieved from Start.gg via the API is processed under the terms of Start.gg’s own Terms of Service and your agreement with Start.gg. You represent that you have all necessary rights and permissions to import and use that data within EloSeed.

4.4 Content Standards

You must not upload or transmit content that: (a) violates any applicable law or regulation; (b) infringes any intellectual property or privacy right; (c) contains malware, viruses, or malicious code; (d) is harassing, hateful, or discriminatory; or (e) violates the EloSeed License Agreement.

5. Intellectual Property

5.1 EloSeed IP

The Services, including all software, design, brand elements, and documentation, are owned by L8TENCY, LLC or its licensors and protected by intellectual property laws. These Terms do not grant you any ownership interest in the Services. “EloSeed,” the EloSeed logo, and related marks are trademarks of L8TENCY, LLC.

5.2 Feedback

If you submit ideas, suggestions, or feedback regarding the Services, you grant EloSeed a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

6. Payment and Fees

Pricing, billing terms, and fee schedules are set forth in the EloSeed License Agreement executed by each organizer. These Terms do not alter any payment obligations under a License Agreement. EloSeed reserves the right to change its pricing with advance notice as specified in the License Agreement.

7. Privacy

Our collection and use of personal information is described in our Privacy Policy, incorporated herein by reference. By using the Services, you consent to our data practices as described in the Privacy Policy.

8. Third-Party Services and Integrations

The Services may integrate with or link to third-party services, including Start.gg, Discord, and email delivery providers. EloSeed does not control and is not responsible for the content, privacy practices, or availability of third-party services. Your use of third-party services is subject to their respective terms and policies.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY CONTENT WITHIN THE SERVICES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, L8TENCY, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

L8TENCY’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO L8TENCY IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless L8TENCY, LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) Your Content; (c) your violation of these Terms or the EloSeed License Agreement; or (d) your violation of any applicable law or third-party rights.

12. Suspension and Termination

12.1 Termination by You

Organizers may terminate their use of the Services in accordance with the termination provisions of the EloSeed License Agreement. Termination of the License Agreement will result in deactivation of your organizer account and circuits.

12.2 Termination by L8TENCY

L8TENCY may suspend or terminate your access to the Services immediately and without prior notice if: (a) you breach these Terms or the License Agreement; (b) we are required to do so by law; or (c) we determine in our sole discretion that continued access poses a risk to the Services, other users, or L8TENCY.

12.3 Effect of Termination

Upon termination, your right to access and use the Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimer, limitation of liability, indemnification, and dispute resolution provisions) will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services that is not resolved informally will be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in English, with the arbitration seated in Delaware. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

YOU AGREE THAT ANY PROCEEDING TO RESOLVE CLAIMS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14. Changes to These Terms

We may update these Terms from time to time. We will notify organizers of material changes by email or by posting a notice within the platform at least 14 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any executed EloSeed License Agreement, constitute the entire agreement between you and L8TENCY, LLC regarding the Services and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 Waiver

L8TENCY’s failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without L8TENCY’s prior written consent. L8TENCY may assign these Terms in connection with a merger, acquisition, or sale of assets.
